Privacy And Confidentiality

Spark Career Mentors reserves all proprietary and other rights on all materials, information passing between you and Spark Career Mentors, including information/materials exchanged during personal meetings, online survey forms, psychometric tests, Content and the Report (‘Confidential Information’). All Confidential Information shall be the sole property of Spark Career Mentors.

Reproduction, distribution, copying, displaying, publication, commercial use, transmission, modification or use, in any manner(exceptfor the personal use of the candidate/student for whom the Report has been prepared) of Confidential Information is prohibited unless the prior written permission of Spark Career Mentors has been obtained.

Spark Career Mentors will be entitled to use Confidential Information in any manner, at its sole discretion, and will not treat any such information as confidential. We do not trade or sell your personally identifying information to other companies or individuals, unless we have your consent.

Indemnification

You agree to indemnify, defend and hold harmless Spark Career Mentors, including but not limited to its affiliate vendors, agents, consultants and employees, from and against any and all losses, liabilities, claims, damages, demands, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon and including any third party claims) asserted against or incurred by Spark Career Mentors that arise out of, result from, or may be payable by virtue of, any breach or non-performance of any representation, warranty, covenant or agreement made or obligation to be performed by you pursuant to the terms contained herein.

Dispute Resolution, Governing Law And Jurisdiction

All disputes or differences regarding the terms contained herein and all transactions entered into and the relationship between you and Spark Career Mentors shall be submitted to final and binding arbitration before a sole arbitrator nominated by Spark Career Mentors. In the event of such arbitration, the arbitration shall be in accordance with the Indian Arbitration and Conciliation Act, 1996, in force at the relevant time (which is deemed to be incorporated herein by reference). All proceedings of such arbitration shall be in the English language and the venue of the arbitration shall be Bangalore, India. The arbitration awards rendered shall be final, binding and shall not be subject to any form of appeal.

Subject to the arbitration stated above, the terms contained herein and all transactions entered into and the relationship between you and Spark Career Mentors shall be governed in accordance with the laws of India and all claims, differences and disputes arising under or in connection therewith shall be subject to the exclusive jurisdiction of the courts at Bangalore, India..
